German Asset Manager EB-SIM Fund Acquires Wind Farm in Šilutė District

An Article 9 fund managed by EB – Sustainable Investment Management GmbH (EB-SIM), a leading asset manager in renewable energy investments, has acquired 100% of the shares of UAB Vėjų spektras. The Ellex team handled all stages of the acquisition.

EB-SIM, an asset manager based in Kassel, Germany, which has been offering exclusively sustainable investment solutions for over 30 years, is investing in renewable energy for the first time in the Baltics. The transaction further expands its renewable energy activities in Europe and aims to deliver a double return to investors, both economic and environmental, as well as further diversify the portfolio.

EB-SIM manages around 50 investment projects with a combined capacity of around three gigawatts in Germany and seven other European countries.

In the acquisition of the shares of a company operating a 21.5 megawatt wind farm in the municipality of Ṧilutė, the Ellex team assisted the client in all stages of the transaction.

“We carried out legal and tax due diligence, participated in the negotiations, prepared the transaction documents, and continue to advise on various corporate matters after the closing of the transaction, assisting the client in the smooth implementation of all the agreements and in adapting to the new business circumstances,” says Paulius Gruodis, Partner at Ellex Valiunas.
