Uniper SE sells 18.26% stake in AS Latvijas Gāze to Energy Investments SIA

Uniper SE has completed the divestment of its 18.26% equity stake in AS “Latvijas Gāze,” selling it to SIA “Energy Investments.” This move fulfils one of the structural commitments included in Uniper’s 2022 state‑aid agreement with the European Commission following Germany’s bailout of the company.

Uniper is an international energy company that operates roughly 19.5 GW of generation capacity in Europe, which ranks it among the world’s largest power producers.

Uniper has held a stake in Latvijas Gāze since January 2016—when E.ON Ruhrgas International transferred its minority position to Uniper Ruhrgas International GmbH. During these almost nine years, Uniper has been a long‑standing and stable shareholder, supporting the company’s operations within Latvia’s energy sector.

For SIA “Energy Investments,” this transaction marks a key step in a broader management buy‑out process of Latvijas Gāze that began in late 2023. This divestment is part of the buyer’s structured consolidation plan, which is expected to conclude in 2025.

Uniper was advised in this transaction by Ellex in Latvia, with Associate Partner Māris Brizgo leading the advisory team.
