Some of our most important deals Ellex have participated in this year:

• Ellex advised ERGO International AG, managing ERGO Group’s international business portfolio, on entering into a share purchase agreement for the acquisition of ADB Gjensidige from Gjensidige Forsikring ASA. This acquisition stands out as one of the top transactions of the year in all the Baltic market.
• Ellex’s pan-Baltic team contributed expertise to Bite Group’s successful €920 million bond issue. We represented ING Bank N.V. as the agent and security agent, and Citigroup Global Markets Limited, Deutsche Bank Aktiengesellschaft, HSBC Continental Europe, J.P. Morgan SE, Swedbank AB and UniCredit Bank GmbH as lead arrangers of the transaction.
• Ellex team advised Rivage Investment, Copenhagen Infrastructure Partners, and Norway’s Kommunal Landspensjonskasse on a EUR 300 million IPP financing for the construction of 1.3-gigawatt of solar PV, wind, storage, and hybrid parks in the Baltics and Poland, provided to renewable energy producer Sunly.
• Lithuania’s 24/7 sports club network Gym Plius has recently expanded its footprint by acquiring VS Fitness. Gym Plius is owned by Estonian My Fitness AS, which is the largest provider of sports club services across the Baltic region. Ellex in Lithuania advised Gym Plius on all aspects of the transaction, including legal due diligence, structuring the deal, preparing the share purchase agreement, and all related documents, as well as negotiations.
• Ellex in Latvia provided legal support to Cabinair Services Ltd. in the acquisition of majority shareholding in SIA AeroKnow. SIA AeroKnow is a Latvian-based holding company having relevant rights to perform minor repairs and minor modifications in aeroplanes and rotorcrafts, as well as to fabricate minor cabin interior components.
