Eliza Semkina is an Associate in our Banking and Finance Practice Group, advising both regulated and non-regulated financial institutions on a broad spectrum of regulatory matters and project management aspects. Her expertise covers Latvian financial market entry, licensing, internal controls, and compliance with conduct of business requirements. Alongside her work in financial regulation, Eliza provides legal support in M&A and corporate law, participating in all phases of M&A transactions. She is actively involved in everything from legal due diligence and drafting transaction documents to handling closing and post-closing issues. She also advises a diverse range of international and local clients on corporate law matters, including incorporations, reorganizations, and reporting ultimate beneficial ownership of complex ownership structures.
Before joining Ellex in Latvia, Eliza gained extensive experience in alternative investment funds in Luxembourg, where she assisted with the setup of new fund structures, including UCITS, SIF, Sicar, and RAIF investment funds, as well as securitization vehicles, management companies, and general partners. Her work encompassed managing legal and corporate secretarial functions, ensuring full compliance with Luxembourg’s regulatory framework. With hands-on involvement in all stages of fund management, from incorporation to dissolution, Eliza possesses a comprehensive understanding of fund governance and compliance, including AML/KYC requirements.
Eliza’s professional journey has also included internships at the European Court of Auditors and Latvia’s Ministry of Foreign Affairs. She has been an active member of various youth organizations, contributing as a volunteer in China and Hong Kong and representing Latvia as a delegate at the 4th ASEFYL Summit.
