“We have a long and productive cooperation with Printful, and we are proud of being selected as advisors of such major companies on a transaction of such global scale, which will open a window of opportunity for both companies. We are delighted to collaborate with these influential and dynamic companies which have their birthplace in Latvia, but are now effectively competing in the global arena. Ellex has years of experience in advising companies on M&A deals in the Baltic countries. Most often, they have been acquisition and sale transactions; by contrast, this transaction presented a rare opportunity to work on a merger transaction between two equal partners. What an excellent experience for all stakeholders of the transaction and advisers as well,” Filips Kļaviņš, Attorney at Law and Senior Partner of Ellex in Latvia, comments on the course of the transaction.
For its client Printful, Ellex performed a legal due diligence of the Latvian and Estonian group companies of its transaction partner Printify. While the formal legal merger occurred at the level of US companies, Ellex provided assistance on a host of legal issues in the transaction related to Latvia and Estonia in collaboration with other advisers of Printful, inter alia, Ellex contributed advice on the merger agreement, financing agreement and other transactional documents.
The Latvian team of legal advisers was comprised of Filips Kļaviņš, Iveta Ceple, Eduards Dzintars, Beata Plociņa, Kaspars Oļševskis, Ineta Kaņepe, Ints Skaldis, Mikijs Zīmecs, Anna Marta Riekstiņa, Anna Mišņeva and Zane Veidemane-Bērziņa from Ellex in Latvia; and in Estonia the client was assisted by Ellex experts Sven Papp and Gerda Liik.
